Terms & Conditions

These terms are a contract between you and Ziritex ("Ziritex", "we", "us"). They govern your use of the Ziritex website and application at ziritex.com (the "Service"). By creating an account or by using the Service, you accept these terms. If you do not accept them, do not use the Service.

Our Privacy Policy forms part of this agreement and explains how we handle your data.

Note. The operating legal entity behind Ziritex and the governing law of this agreement are not yet published. We will add them here before Ziritex leaves its early-access phase, and we will tell you when we do.

You must be at least 16 years old to use the Service. If you use it for an employer or an institution, you confirm that you have the authority to accept these terms for them.

You are responsible for your account: keep your credentials safe, and tell us at contact@ziritex.com if you think someone has used your account without permission. You are responsible for what happens under your account and for the people you invite to your workspaces.

Ziritex is a collaborative workspace for scientific writing. It gives you multi-file LaTeX and Markdown projects, realtime collaborative editing, LaTeX compiling, citation search, per-project version history, and an optional AI agent that can read, edit, compile, and correct your project.

Ziritex is in early access. Features can change, break, or be removed. Availability is not guaranteed, and we do not offer a service level agreement at this stage. Keep your own copies of work that matters to you.

You keep all rights in the manuscripts, files, figures, data, and other material you put into the Service ("Your Content"). We claim no ownership of it.

You give us a limited, non-exclusive, worldwide, royalty-free licence to host, copy, transmit, render, and process Your Content, and to make derived copies such as compiled PDFs and version history. This licence exists only so that we can operate the Service for you and the collaborators you invite. It ends when you delete the content or your account, except for copies held in routine backups until they are overwritten.

We do not use Your Content to train AI models, ours or anyone else's, and we do not publish it or share it outside the providers listed in our Privacy Policy.

You confirm that you have the rights needed to upload Your Content, including rights in third-party figures, data, and text you include.

You must not use the Service to:

• Break the law, or infringe anyone's intellectual property, privacy, or other rights.
• Upload malware, or run code intended to damage, disable, or gain unauthorised access to any system.
• Attack the Service: probe or breach its security, defeat access controls, reach another user's workspace, or reverse-engineer it except as the law allows.
• Abuse the compile workers, for example by mining cryptocurrency, running general-purpose computation unrelated to building a document, or generating load designed to degrade the Service for others.
• Scrape the Service or use it through automated means beyond our published interfaces.
• Resell or white-label the Service without our written agreement.
• Harass other users, or upload material that is unlawful, defamatory, or hateful.

The AI agent is optional and off until you open it. When you use it, we send your prompt and the relevant parts of your project to a third-party model provider. Our Privacy Policy describes this flow in detail.

AI output can be wrong. The agent can invent citations, misstate results, produce invalid LaTeX, and introduce errors into text it edits. You are responsible for checking everything it produces before you rely on it, submit it, or publish it.

You are responsible for following the rules of your institution, your funder, your supervisor, and your target venue about the use of AI in research and writing, including any duty to disclose it. Ziritex does not judge those rules for you and is not responsible if you break them.

As between you and us, you own the output the agent generates for you, to the extent that any rights exist in it. AI output may not be original and may resemble output given to another user.

Compiling runs on servers we pay for. We may set limits on compile time, compile frequency, file size, storage, AI requests, and the number of collaborators, and we may change those limits. If your usage is far beyond normal research use and degrades the Service for others, we may throttle it after telling you, or immediately if the Service is at risk.

The Service connects to third parties, including our authentication, database, hosting, version control, and AI model providers, and it can search external bibliographic sources. We are not responsible for third-party services, their availability, or their content. Your use of a third-party service through Ziritex may also be governed by that party's own terms.

Ziritex is free during early access, and no billing is active today. Before we introduce a paid plan we will publish its prices and terms, and we will give you notice and a choice before any charge applies to your account. Any pricing shown on the site before then is indicative and not an offer.

You may stop using the Service and delete your account at any time. Deleting your account removes your projects, files, and version history as described in our Privacy Policy.

We may suspend or close your account if you break these terms, if your use puts the Service or other users at risk, or if the law requires it. Unless the breach is serious or urgent, we will tell you first and give you a chance to correct it. If we close your account without cause, we will give you a reasonable chance to export your work.

Sections 4, 11, 12, 13, and 16 survive the end of this agreement.

To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that compiled output, citation results, or AI output will be correct, complete, or fit for submission. Nothing here excludes a warranty or right that the law does not let us exclude, including the statutory rights of consumers.

To the fullest extent the law allows, Ziritex is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost manuscripts, missed deadlines, rejected submissions, or loss of goodwill, however caused.

Our total liability under this agreement is limited to the greater of the amount you paid us in the 12 months before the claim, or 100 EUR.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not let us limit.

You will defend and hold us harmless against claims, damages, and reasonable costs arising from Your Content, from your use of the Service in breach of these terms, or from your breach of the law or of anyone's rights. This does not apply where the claim results from our own breach or negligence.

We may change the Service and these terms as the product develops. For a material change to these terms we will give you notice by email or in the application at least 14 days before it takes effect. If you keep using the Service after that date, you accept the new terms; if you do not accept them, close your account before then. The effective date at the top of this page always shows the current version.

• Entire agreement. These terms and the Privacy Policy are the whole agreement between us about the Service.
• Severability. If a court finds part of these terms unenforceable, the rest stays in force.
• No waiver. If we do not enforce a right, we do not give it up.
• Assignment. You may not assign this agreement without our consent. We may assign it as part of a merger, acquisition, or sale of assets.
• Governing law. To be confirmed before Ziritex leaves early access. Until then, the mandatory consumer protections of the country where you live continue to apply to you.
